These Terms of Service (“Terms”) govern your use of bizxlabs.com and how you communicate with BizXLabs LLC (“BizXLabs”, “we”, “us”) through it. Please read them carefully — by using the site, you agree to them.
01About us
bizxlabs.com is operated by BizXLabs LLC, a Wyoming limited liability company with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, USA. We design, build and support AI solutions, custom software, websites and apps, and growth marketing (advertising management and search engine optimisation) for businesses.
02Acceptance of these Terms
By accessing or using the site you confirm that you are at least 18 years old and able to agree to these Terms. If you use the site on behalf of a business, you confirm that you are authorised to accept these Terms for it. If you do not agree, please do not use the site.
03Our services and client agreements
This site describes our services for general information. It is not an offer that can be accepted, and nothing on it creates a client relationship.
Every engagement is governed by a separate written agreement between BizXLabs and the client — our Master Services Agreement, its commercial terms and any exhibits, such as our Data Processing Addendum. That agreement sets out the scope, deliverables, fees, term, ownership and all other terms, and it takes precedence over anything on this site.
Timelines, examples and descriptions on this site are illustrative. Results depend on each business, and we do not promise any specific outcome unless a signed agreement says so.
04Using the site
You may use the site to learn about BizXLabs and to contact us. You agree not to:
- use the site for anything unlawful, fraudulent or harmful;
- try to gain unauthorised access to the site, our systems or other people's data;
- interfere with the site's operation, including by introducing malware or overloading it;
- scrape, copy or harvest content or contact details in bulk, or use automated means to access the site without our permission; or
- impersonate anyone or give us false information.
05Contacting us and communications
When you contact us — by the contact form, email, phone or WhatsApp — you agree that we may reply through the same channel and follow up about your enquiry. If you give us your WhatsApp number in our contact form, you agree that we may also contact you on WhatsApp about your enquiry. You can ask us to stop at any time, including by replying STOP on WhatsApp.
To respond quickly, our communications may be handled by our team together with automated tools, including AI-based services, as described in our Privacy Policy. Information given in these conversations is for general guidance only and is not a binding offer or quote; only a signed agreement binds us.
Please do not send us confidential or sensitive information through the site before a confidentiality agreement or client agreement is in place.
06Client and team portals
Some BizXLabs services include online portals for clients and team members (for example app.bizxlabs.com and teams.bizxlabs.com). Access is by invitation only. If you have an account, keep your login details secure and tell us promptly about any unauthorised use. Use of the portals is also governed by the agreement that gave you access.
07Intellectual property
The site and everything on it — including text, graphics, designs, logos, the BizXLabs name and code — belong to BizXLabs or our licensors and are protected by intellectual property laws. You may view and share pages for your own business purposes, but you may not copy, reproduce, modify, distribute or create derivative works from the site's content without our written permission.
Ownership of anything we build for a client is set out in that client's agreement, not on this site.
08Ideas and feedback
If you send us ideas, suggestions or feedback about our services or the site, we may use them freely without any obligation to you.
09Third-party services and links
The site may link to or use third-party services, such as WhatsApp, payment providers and social networks. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.
10Disclaimers
The site and its content are provided “as is” and “as available”, for general information only. To the fullest extent permitted by law, we make no warranties of any kind — express or implied — including about accuracy, completeness, availability, merchantability, fitness for a particular purpose or non-infringement. We do not guarantee that the site will be uninterrupted, error-free or free of harmful components.
11Limitation of liability
To the fullest extent permitted by law, BizXLabs and its members, managers, team and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the site — even if we were told such damages were possible. Our total liability for any claim arising from your use of the site is limited to one hundred US dollars (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law. Liability under a client agreement is governed by that agreement.
12Indemnity
You agree to defend and compensate BizXLabs for claims, losses and costs (including reasonable legal fees) arising from your misuse of the site or your breach of these Terms.
13Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Before starting any legal action, you agree to contact us first so we can try to resolve the matter informally within 30 days. If it is not resolved, the state courts of Wyoming sitting in Sheridan County, or the U.S. District Court for the District of Wyoming, will have exclusive jurisdiction, and you consent to those courts.
14Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. Continued use of the site after changes are posted means you accept the updated Terms.
15General
If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right, that does not waive it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about your use of the site. You may not transfer your rights under these Terms; we may transfer ours as part of a reorganisation or sale of our business.
